You retain ownership of all data you input into the Platform (“Tenant Data”). You grant Synesys a non-exclusive, worldwide licence to host, process, and transmit Tenant Data solely to provide and improve the Platform. We will not access your Tenant Data except to provide the service, respond to support requests, or as required by law.
Upon account termination you may request an export of your Tenant Data within 30 days of termination. After that period we will delete Tenant Data subject to any legally mandated retention obligations.
The Platform, including its software, design, trademarks, and documentation, is the exclusive property of Synesys Cargo (Pty) Ltd. Synesys shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, goodwill, or business opportunities, even if advised of the possibility of such damages.
You agree to indemnify and hold Synesys and its officers, directors, employees, and agents harmless from any claims, damages, or expenses (including reasonable legal fees) arising from your use of the Platform in violation of these Terms or applicable law.
Each party agrees to keep confidential any non-public information of the other party obtained through use of the Platform and to use such information only for the purposes permitted by these Terms. This obligation does not apply to information that is publicly available, independently developed, or required to be disclosed by law.
These Terms apply for as long as you use the Platform. Either party may terminate with 30 days' written notice. Synesys may terminate immediately for material breach, non-payment, or conduct that poses a security or legal risk. Sections 6, 7, 9, 10, 11, and 13 survive termination.
These Terms are governed by the laws of the Republic of South Africa. Any dispute that cannot be resolved amicably shall be subject to the exclusive jurisdiction of the Western Cape Division of the High Court of South Africa (Cape Town).
We may update these Terms from time to time. We will notify you by email at least 30 days before material changes take effect. Continued use of the Platform after the effective date constitutes acceptance of the revised Terms.
